Terms of Service

These Terms of Service ("Agreement") govern your use of the Gift Aid Genius software-as-a-service platform ("Service") provided by Man Vs Potato Ltd ("Company") for charities and social enterprises. By accessing or using the Service, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to this Agreement. If you do not have such authority or if you do not agree with the terms of this Agreement, you may not use the Service.

  1. Account Registration
    1. To access and use the Service, you must register for an account. You agree to provide accurate and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials, and you are fully responsible for all activities that occur under your account. You agree to notify the Company immediately of any unauthorized use or suspected breach of security.
  2. Software Description
    1. The Service provided by the Company allows charities and social enterprises to manage the inventory of donated items, track them from donation to sale, and automate Gift Aid claims to HMRC.
    2. The Company will use commercially reasonable efforts to ensure the Service is available and functions properly. However, the Company does not guarantee uninterrupted or error-free operation of the Service and shall not be held liable for any interruptions, delays, or defects.
  3. Use of the Service
    1. You may use the Service only for lawful purposes and in accordance with this Agreement. You agree not to use the Service in any way that violates any applicable laws or regulations.
    2. You are solely responsible for the accuracy, quality, and legality of the data you input into the Service. You represent and warrant that you have all necessary rights and permissions to use and provide such data.
    3. You agree not to access or attempt to access the Service by any means other than the provided interfaces or as explicitly authorized by the Company.
    4. You acknowledge that the Service may require integration with third-party software or services. You are responsible for obtaining and maintaining any necessary permissions, licenses, or agreements for such integrations.
  4. Intellectual Property
    1. The Service, including all intellectual property rights, is and will remain the exclusive property of the Company. This Agreement does not grant you any rights or licenses to use the Service except as expressly stated herein.
    2. You retain ownership of the data you input into the Service. By using the Service, you grant the Company a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, distribute, and display such data solely for the purpose of providing the Service to you.
  5. Payments and Fees
    1. The use of the Service may be subject to payment of fees. The applicable fees and payment terms will be provided to you separately. Failure to pay the fees may result in the suspension or termination of your access to the Service.
  6. Privacy and Data Protection
    1. The Company respects your privacy and is committed to protecting your personal data. The Company's collection, use, and disclosure of personal information are governed by its Privacy Policy, which is incorporated by reference into this Agreement.
  7. Termination
    1. You may terminate this Agreement at any time by discontinuing the use of the Service and closing your account.
    2. The Company may suspend or terminate your access to the Service immediately, without notice or liability, for any reason, including but not limited to a breach of this Agreement.
  8. Limitation of Liability
    1. To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.
  9. Miscellaneous
    1. This Agreement constitutes the entire agreement between you and the Company regarding your use of the Service and supersedes any prior agreements or understandings, whether written or oral.
    2. This Agreement shall be governed by and construed in accordance with Scots Law. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Scotland.
By using the Gift Aid Genius platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
